This sets out the terms on which VG Scienta Limited (“we”, “us”, “our”) agrees to sell goods (“Goods”) to the customer named on the order submitted on this website (“you”, “your”).
Contractual terms: The contract between us and you for the sale of the Goods is made in accordance with these Terms of Sale, to the exclusion of all other terms and conditions which you may purport to apply. These Terms of Sale are deemed to incorporate our UK Terms and Conditions of Sale, which will apply to the extent that they are not varied by (or in conflict with) these Terms of Sale. Our UK Terms and Conditions of Sale include provisions that limit or exclude our liability, and your attention is particularly drawn to those provisions.
Online customer account and security: You must ensure that all information contained in your account details on this Site are current, complete and accurate. You must maintain the confidentiality of your password and account. You are entirely responsible for any and all activities that occur under your account (including without limitation orders for Goods placed using your account), and you agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge, except as a result of any failure by us. You must not use anyone else's account at any time, without the permission of the account holder.
Business customers only: We only supply Goods to customers acting for the purposes of their business. We do not supply Goods to consumers.
PLACING YOUR ORDER
Prices: All prices for Goods are quoted exclusive of VAT, insurance, packing, dock or airport dues and delivery and any other incidental charges, which you will pay in addition.
Payment: Payment for the Goods is due at the same time you place your order, using the payment methods set out on the order screen. No Goods will be dispatched until you have paid us in full for the corresponding order. We use the PayPal™ service to accept and process payments over a secure network, and by placing your order you agree that we may pass on your details and details of your order to the payment processor in order to enable processing of your payment.
Acknowledgement and acceptance of order: No contract will exist between you and us until we have received full payment from you and have either (i) given you a written/emailed acceptance of your order or (ii) despatched the ordered Goods, whichever is the sooner. Acknowledgement of your order (whether on the Site, by email or otherwise) and assignment of an order number do not constitute acceptance of that order unless we expressly state otherwise. We reserve the right to decline any order, even after we have acknowledged it.
FULFILMENT OF ORDER
Unavailability of products: We make every effort to ensure that sufficient Goods are available in stock at all times to meet your order. However, we have no liability if Goods are out of stock. In the event that one or more of the ordered Goods is unavailable we will inform you by email or telephone and deliver the remaining part of your order. We will then either deliver the unavailable items when they become available or cancel your order as regards the unavailable items and refund any amounts paid in respect of them.
Delivery: We will endeavour to dispatch orders placed online by 11am UK time within the next two working days [Mon-Fri], once payment has cleared and providing the item/s are in stock.However, any delivery date given is an estimate only and in no circumstances shall time be or be capable of being made of the essence of the contract.
CANCELLATION
Cancellation by you: You may cancel your order at any time before the Goods are packed for despatch from our premises. In the event of cancellation please notify our customer support team by telephone or email immediately, additional written confirmation may be requested.
Once the Goods have been packed for despatch, any cancellation will be subject to our written approval, and we reserve the right to charge a re-stocking fee at 10% of the total order value. You are also responsible for returning any Goods that have been delivered, at your own expense. You remain liable for any loss or damage to returned Goods from despatch by us until we receive them back from you.
Cancellation by us: We reserve the right to decline or cancel any order prior to delivery. If we decline or cancel an order we will refund all amounts paid by you in respect of that order.
Refund: If an order is subject to a full or partial refund, the transaction will be credited back to the method used for original payment. This transaction will only be undertaken by an authorized customer service representative once a request has been raised by the customer in writing by email or post quoting the order reference number.
OTHER PROVISIONS
Intellectual property: The copyright and all other intellectual property rights the Site and the Goods belongs to us or to our licensors. You must not use any of the contents of the Site other than for their intended purpose, and in particular you must not copy any of the contents of the Site for use on any other website or other promotional or sale materials.
